Algebra, VIII, p. 38, § 2. The Structure of Modules of Finite Length

Let E and F be two finite-dimensional vector spaces over a commutative field K, and let K′K' be an extension of K. Let uu be an endomorphism of E and vv an endomorphism of F, and let u(K′)u_{(K')} and v(K′)v_{(K')} be the endomorphisms of E(K′)E_{(K')} and F(K′)F_{(K')} obtained by extension of scalars. It follows from Corollaries 1 and 2 of VII, §5, No. 3, p. 32 that the endomorphisms uu and vv are similar if and only if the endomorphisms u(K′)u_{(K')} and v(K′)v_{(K')} are. This also follows from Theorem 3 above applied to the algebra A = K[X] and the A-modules M=EuM = E_u and N=FvN = F_v (VII, §5, No. 1, p. 29).

Bourbaki sets the proof directly after the statement, and the corpus does not separate them, so what is above is the statement and its proof together.
